These Terms of Service ("Terms") govern your access to and use of the ZipSignal platform (the "Service") operated by ZipSignal ("we," "us," or "our"). By creating an account or using the Service, you agree to these Terms.

1. Service Description

ZipSignal is an AI-powered lead intelligence platform that monitors publicly available government records — including home sales, building permits, and business filings — and routes contextualized alerts to local businesses based on their industry and selected zip codes.

2. Account Responsibilities

  • You must provide accurate and complete information when creating your account.
  • You are responsible for maintaining the security of your account credentials.
  • You must be at least 18 years old to use the Service.
  • You are responsible for all activity that occurs under your account.
  • You must promptly notify us if you become aware of any unauthorized access to your account.

3. Subscription and Billing

  • Free tier: Limited access to leads with basic information. No credit card required.
  • Paid plans (Starter, Growth, Pro): Billed monthly via Stripe. Prices are as listed on our pricing page at the time of purchase.
  • You may upgrade, downgrade, or cancel your subscription at any time through your account settings.
  • Cancellation takes effect at the end of the current billing period. No prorated refunds are provided for partial months.
  • We reserve the right to change pricing with 30 days' notice. Price changes will not affect your current billing period.

4. Data Accuracy Disclaimer

Public records are provided "as is." Lead data on ZipSignal is sourced from publicly available government records and third-party data providers. We do not guarantee the accuracy, completeness, or timeliness of this data. Property details, sale prices, permit information, and business filings may contain errors or may not reflect the most current information. You should independently verify any information before taking action.

5. AI-Generated Content Disclaimer

AI insights are not professional advice. The relevance analyses, suggested actions, and outreach drafts generated by our AI are provided for informational purposes only. They do not constitute legal, financial, real estate, or professional advice of any kind. You should exercise your own judgment and consult qualified professionals before making business decisions based on AI-generated content. We are not liable for any actions taken based on AI-generated insights.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws.
  • Send unsolicited communications (spam) using information obtained from the Service in violation of applicable laws (e.g., CAN-SPAM, TCPA).
  • Attempt to scrape, crawl, or systematically extract data from the Service.
  • Interfere with or disrupt the Service or its infrastructure.
  • Share your account credentials with third parties or allow others to use your account.
  • Resell, redistribute, or sublicense access to the Service or its data without our written consent.
  • Use the Service to harass, stalk, or intimidate any individual.

7. Intellectual Property

The Service, including its design, features, AI models, and content (excluding public record data), is owned by ZipSignal and protected by applicable intellectual property laws. You retain ownership of any content you submit to the Service (e.g., business information, outreach copy edits).

8. Termination

  • You may delete your account at any time through your account settings or by contacting us.
  • We may suspend or terminate your account if you violate these Terms, engage in abusive behavior, or fail to pay subscription fees.
  • Upon termination, your right to access the Service ceases immediately. Data deletion follows the timeline described in our Privacy Policy.

9. Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided "as is" and "as available" without warranties of any kind, express or implied.
  • We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • In no event shall ZipSignal be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
  • Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold ZipSignal harmless from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third party's rights.

11. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Orange County, Florida.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice on the Service at least 30 days before taking effect. Your continued use of the Service after the updated Terms take effect constitutes acceptance.
